Tulip Crush Online Sweepstakes Contest Rules

1Contest Rules and Regulations (the “Contest Rules”)
No purchase of any kind is necessary to enter or win. Making a purchase will not increase your chances of winning. Entry into this Contest constitutes your acceptance of these Contest Rules.
2Administration
Tulip Crush Online Contest (the “Contest”) is administered by Tulip Crush and the Canadian Tulip Festival (the “Sponsors”).
3Contest Period
The Contest begins at 12:01 a.m. (EST) on May 11, 2018 and ends at 11:59 p.m. (EST) on May 21, 2018 (the “Contest Period”).
4Eligibility
The Contest is only open to residents of Canada, excluding Quebec, who are of the age of legal majority in the province/territory in which they reside at the time of entry (each, an “Entrant”). This Contest is not open to employees of the Sponsors, or their affiliates, or spouses, partners, children or persons residing with employees of the Sponsors, or their affiliates.

The Sponsors shall have the right at any time to require proof of identity and/or eligibility, in a form acceptable to the Sponsors, to participate in the Contest. Failure to provide such proof to the Sponsors in a timely manner may result in disqualification from the Contest. All personal and other information requested by and supplied to the Sponsors for the purpose of the Contest must be truthful, complete, accurate and in no way misleading. By participating in this Contest, Entrants acknowledge compliance with and agree to be bound by all Contest Rules, and the decisions of the Sponsors, which are final with respect to all matters relating to the Contest. Entrants who do not comply with any of the Contest Rules are subject to disqualification by the Sponsors, in the Sponsors' sole discretion, whose decisions shall be final.
5Entry (No purchase necessary)
All Entries must be submitted from a valid email or social media account. Only one (1) account may be used by an individual to participate in this Contest. Using multiple accounts may disqualify an Entrant from entering or winning a prize in the Sponsor’s sole discretion.

6Verification
The Sponsors may request that the potential winner (the "Selected Entrant") of the Prize (defined below) provide reasonable proof that they are the Authorized Account Holder of the email or social media account associated with the winning Entry. In the case of a dispute concerning the identity of the person who submits an Entry, the Entry will be deemed to be submitted by the Authorized Account Holder in whose name the email or social media account is registered, provided that the person meets all eligibility criteria of this Contest. "Authorized Account Holder" shall mean the natural person assigned to an email address and/or telephone number by an Internet access provider, online service provider, telephone service provider or other organization that is responsible for assigning email addresses for the domain associated with the submitted email address (a valid email address must be provided to register for a social media account).

Any attempt or suspected attempt to use robotic, automatic, programmed or otherwise illicit means to enter the Contest, or any other methods not authorized by these Contest Rules, including, but not limited to, creating multiple email and/or social media accounts, identities or registrations, shall be deemed as tampering and may disqualify you from entering, participating and/or winning a prize, all in the Sponsors' sole discretion. All Entries will be declared invalid if they are late, illegible, incomplete, damaged, irregular, forged, garbled or mechanically or electronically reproduced. Entries for this Contest become the property of the Sponsors and will not be returned. Each Entrant agrees that his/her Entry was not created by any third party.
7Prizes
There is a total of one (1) prize available to be won during the Contest (the "Prize") consisting of:

1) One (1) Grand Prize:

One (1) $250 CAD (total) spending money in the form of a prepaid Amazon.ca Gift Card awarded to the Winner only. Prize will be delivered via email. Restrictions apply, see: amazon.ca/gc-legal

The total approximate retail value of all the Prizes is $250 CAD. The Winner is not entitled to any difference between the actual value of the Prize and the approximate retail value stated herein.

Prizes include any prepaid taxes and fees and is subject to the following conditions: (i) a Prize will only be awarded to the person who is verified by the Sponsors as the Winner; (ii) Prizes are non-transferable, non-refundable and non-changeable once issued, must be accepted as awarded and has no cash value. The Winner assumes any and all liability for the death or bodily injury of any person, or the damage, loss or destruction of any real or physical personal property caused, or claimed to be caused, by entering or participating in this Contest, or use or redemption of a Prize.

The Winner must follow all directions of the Sponsors with respect to all aspects of a Prize. Failure to follow the directions of the Sponsors may result in termination of participation, or continued participation, in a Prize, all in the Sponsors' sole discretion. Any unused portion of the Prize will be forfeited. The Winner must be of age of legal majority in their province/territory of residence, unless accompanied by a parent or legal guardian.

In the event that the Prize, or any component of the Prize, cannot be awarded as described for any reason, the Sponsors reserve the right to substitute any stated prize (or part thereof) with an alternate prize of equal or greater value, for any reason without notice or liability, in its sole and absolute discretion. In the event that a substitute prize is awarded, such prize must be accepted “as-is”, may not be exchanged and has no cash value.
8Odds of Winning
The odds of winning a Prize depends on the number of eligible Entries received during the Contest Period.
9Winner Selection
One (1) Grand Prize Winner shall be selected as follows:

a. On or about May 22, 2018 (the “Draw Date”) at The Horticulture Building, 203-1525 Princess Patricia Way, Ottawa, ON K1S 5J3, one (1) Entrant will be randomly selected from amongst all eligible Entries received during the Contest Period by an employee, agent or other representative of the Sponsors (the “Selected Entrant”). The Selected Entrant will be contacted by the Sponsors via email and/or social media and/or telephone within one (1) day of the Draw Date. If a Selected Entrant cannot be contacted or fails to respond within twenty-four (24) hours of the first attempt of contact by the Sponsors, they will be considered to have forfeited the Prize and will be disqualified and another Entrant may be selected, in the sole discretion of the Sponsors, from the remaining eligible Entries until such time as contact is made with a Selected Entrant, there are no more eligible Entries, or there is insufficient time to award the Prize, whichever comes first. In the event that an alternate Selected Entrant is required to be selected, the same above-noted process will be followed. The Sponsors are not responsible for unsuccessful attempts to notify a Selected Entrant. The Sponsors will not enter into telephone contact, direct messaging, or other correspondence in association with the Contest, except with the Selected Entrant.

b. Upon successful contact with a Selected Entrant, the Selected Entrant will be required to provide certain contact information, as requested by the Sponsors (e.g. full name, age, email address, municipality and province/territory of residence and telephone number). Before being declared a winner (“Winner”), the Selected Entrant will be required to: (i) correctly answer, without assistance of any kind, whether mechanical or otherwise, the Sponsors' time-limited mathematical skill-testing question; (ii) comply with all Contest Rules; and (iii) sign and return or submit, as applicable, a completed copy of the Sponsors' Declaration of Eligibility and Liability/Publicity Release (the “Sponsors' Release”) form, all in the sole discretion of the Sponsors. If a Selected Entrant: (a) fails to correctly answer the Sponsors' skill-testing question; (b) fails to comply with all Contest Rules; (c) fails to sign and return the Sponsors' Release form to the Sponsors within the specified timeframe; and/or (d) cannot accept the Prize for any reason, then he or she will be disqualified from the Contest and another Entrant will be selected by way of a random draw (in which case all Contest Rules will apply to such new Selected Entrant). In the event there is no Selected Entrant that has complied with all Contest Rules, the Prize will not be awarded. The Sponsors are not responsible, whether as a result of human error or otherwise, for any failure to contact any Selected Entrant.

c. The Sponsors will contact the Winner to arrange for Prize delivery following receipt of the Sponsors' Release form.
10Indemnification and Limitation of Liability
a. By submitting an Entry into this Contest, each Entrant confirms his or her understanding of and compliance with these Contest Rules. Each Entrant, and his/her representatives, heirs, successors or assigns, hereby releases and holds the Released Parties harmless from any and all liability for any loss, injuries or damage of any kind to the Entrant, his/her heirs, successors or assigns, or any other person, including personal injury, death or property damage, resulting in whole or in part, directly or indirectly, from acceptance, possession, use or misuse of any Prize, participation in the Contest, any non-compliance with the Contest Rules and/or in connection with the acceptance and/or exercise by an Entrant of the Prize. The Entrant and his/her representatives, heirs, successors or assigns, agree to fully indemnify the Released Parties from any and all claims by third parties relating to the Contest, without limitation.

b. The Winner must complete the Sponsors' Release form to: (i) confirm compliance with all Contest Rules; (ii) agree to accept the Prize as awarded; (iii) release, discharge and hold harmless the Sponsors and each of their respective affiliates, advertising and promotional agencies, counsel, marketing partners and each of their and their affiliates’ respective directors, officers, employees, shareholders, successors, partners, mandataries, agents, advisors, suppliers, distributors and assignees (the “Released Parties”) from any liability, action, cause of action, claim or demand, loss or injury, use or misuse of the Prize, suit, debt, covenant, contract, including legal fees and expenses, including but not limited to, claims based on negligence (except for material injury caused by the Sponsors' intentional or gross fault), breach of contract and fundamental breach, failure of any third party contractor or supplier used in connection with any aspect of the Contest to perform or deliver any goods or services, any act of God or any other event beyond the Released Parties' control, any dissatisfaction of any kind by the Winner with any aspect of the Contest or the Prize, liability for physical injury, death, or property damage which the Winner, their heirs, successors or assigns have, might have or could have suffered, by reason of or arising out of the Winner's participation in the Contest and/or in connection with the acceptance and/or exercise and/or use of the Prize as awarded; and (iv) indemnify the Released Parties against any loss, damage or expense, including legal fees, that any of the Released Parties may suffer or incur in connection with any claim or demand by any third party or as a result of any non-compliance by the Winner or his/her companion with any of the Contest Rules or participation in the Contest and/or in connection with the acceptance and/or exercise of the Prize.

c. The Released Parties are not responsible for any incorrect or inaccurate information, whether caused by website users or by any of the equipment or programming associated with or utilized in the Contest or for any technical malfunctions or human error which may occur in the processing of Entries, the selection of the Winner or for any printing or other errors in any Contest materials. The Released Parties are not liable for any error, omission, interruption, tampering, deletion, defect, delay in transmission or operation, communications telephone line failure, destruction or theft, alteration or unauthorized access to the Entries. The Released Parties assume no liability for any problems, viruses or technical malfunction of any telephone network or lines, computer on-line systems, servers or providers, computer equipment, software, failure of email or Direct Messaging or on account of technical problems or traffic congestion on the Internet or at any website or combination thereof, including injury or damage to Entrants or to any other person's computer related to or resulting from participating or downloading materials in the Contest.

d. Without limiting the generality of the foregoing, it is expressly agreed that the Released Parties do not assume any liability for the holding of or damages to persons or property arising directly or indirectly out of the Canadian Tulip Festival or Tulip Crush.
11Conduct
The Sponsors reserve the right, in their sole discretion, to disqualify any Entrant it finds to be: (i) violating these Contest Rules; (ii) tampering or attempting to tamper with the entry process or the operation of the Contest; (iii) acting in an un-sportsperson-like or disruptive manner, or with the intent to annoy, abuse, threaten or harass any other person. Any attempt by an Entrant or any other individual to undermine the legitimate operation of the Contest may be a violation of criminal and/or civil laws. Should any such attempt be made, the Sponsors reserve the right to seek remedies and damages to the fullest extent permitted by law.
12Other Conditions
a. Notwithstanding anything to the contrary herein, Winners must be available to accept the Prize. Should a Winner be unable to accept the Prize, another Entrant may be selected, in the sole discretion of the Sponsors, from the remaining eligible Entries until such time a Selected Entrant accepts the Prize, there are no more eligible Entries, or there is insufficient time to award the Prize, whichever comes first.

b. Any and all additional costs and expenses associated with Prize acceptance and use not specified herein as being provided including but not limited to travel, transportation costs, gratuities and other expenses incurred by the Winner in claiming, accepting and/or using the Prize are the sole responsibility of the individual Winner.

c. The Sponsors reserve the right to terminate or amend this Contest at any time and in any way, without prior notice. Without limiting the foregoing, if, for any reason, the Contest is not capable of running as originally planned for any reason, the Sponsors reserve the right to cancel the Contest and conduct a random draw from all previously received eligible entries received during the Contest Period.

The Sponsors reserve the right in their sole discretion to change the Contest conditions or end the Contest at any time whatsoever without notice, as well as the right to disqualify any Entrant (or cancel any Entry) that does not comply with these Contest Rules.
13Publicity
By accepting a Prize, the Winner consents to allow the Sponsors to use their name, social media user name(s), comments, municipality and province/territory of residence, biographical information, and image on videotape, photograph or other means, in any advertising, marketing or publicity with respect to this Contest, without further notice or compensation, as may be edited or modified in the Sponsors' sole discretion.
14Law
The Contest is void where prohibited by law and subject to all applicable Canadian federal, provincial, municipal and local laws. Any litigation respecting the awarding of a prize may be submitted to the board only for the purpose of helping the parties reach a settlement. For residents of all other jurisdictions, this Contest shall be governed exclusively by the laws of the province of Ontario, including all issues and questions concerning the construction, validity, interpretation and enforceability of these Contest Rules, rights and obligations between entrants and the Sponsor, and procedural provisions, without giving effect to any choice of law or conflict of law rules. Any dispute shall be adjudicated by the courts sitting in Ottawa, Ontario.
15Privacy
By entering this Contest, the Sponsors may collect Entrants’ names, addresses, email addresses, telephone numbers and information necessary to administer Entrants’ participation in the Contest and in accordance with Sponsors' privacy statement (available at: TulipCrush.com/privacy-policy.html).
16Rule Amendments
The Sponsors reserve the right, in their sole discretion to amend or modify these Contest Rules, or modify, cancel or suspend this Contest, without prior notice for any reason whatsoever, including without limitation in the event that any cause beyond the reasonable control of the Sponsors corrupts, or threatens to corrupt, the security or proper administration of the Contest.
17Language Discrepancy
In the event of any conflict, discrepancy or inconsistency between the terms and conditions of this English version of the Contest Rules (the “English Rules”) and disclosures or other statements contained in any other Contest-related materials, including, without limitation, any French version of these Contest Rules and/or point of sale, print, online or other advertising, the terms and conditions of these English Rules shall prevail, govern and control.
18Inquiries
By accepting a Prize, the Winner consents to allow the Sponsors to use their name, social media user name(s), comments, municipality and province/territory of residence, biographical information, and image on videotape, photograph or other means, in any advertising, marketing or publicity with respect to this Contest, without further notice or compensation, as may be edited or modified in the Sponsors' sole discretion.
19Changes to these Contest Rules
We may update our Contest Rules from time to time. We will notify you of any changes by posting the new Contest Rules on this page.

You are advised to review these Contest Rules periodically for any changes. Changes to these Contest Rules are effective when they are posted on this page.
